On April 17, Calfee Partner Daniella Vespoli presented at the American Bar Association’s Business Law Spring Meeting in Atlanta in a 90-minute panel discussion titled “Deal Math – a Financial Playbook for M&A Lawyers.”

The multidisciplinary panel discussion focused on the principles that inform how numbers such as purchase price, earn-out amounts, payment triggers, working capital targets, performance vesting triggers, and leverage ratios in business contracts and loan agreements are established and how business lawyers can support clients in negotiating these numbers.


Daniella C. Vespoli is a Partner in Calfee's Corporate and Finance group, where she advises private equity firms and their portfolio companies on significant M&A transactions, with a strategic focus on advancing her clients’ business objectives. In addition to buy-side platform and add-on representation, she has substantial experience advising founders and other business owners in sale processes, including both proprietary transactions and banker-led auctions, across a broad range of industries. Daniella’s practice spans the lower‑middle‑ and middle‑market through the most complex upper‑middle‑market transactions and beyond, across varied deal sizes and structures. She regularly acts as her clients' lead advisor in connection with structuring and negotiating complex M&A transactions, including acquisitions, divestitures, leveraged buyouts, recapitalizations, minority investments, joint ventures, and other strategic corporate and commercial transactions. Across her career, she has advised on transactions with an aggregate value exceeding $20 billion. Prior to joining Calfee as a Partner in 2025, Daniella spent the first decade of her career at Am Law firms, beginning as an Associate at an Am Law 25 firm and later as a Partner at an Am Law 10 firm.
