Michael R. Trivisonno

Mike has led complex, multijurisdictional transactions, representing companies, private equity firms and business founders in acquisitions, as well as divestitures across numerous industries, including technology, healthcare, sports and entertainment, industrials, fintech and business services. His depth of experience allows him to anticipate challenges, mitigate risks and drive successful outcomes for his clients.

Beyond M&A transactions, Mike provides counsel to public and private companies with respect to a wide variety of general corporate and business matters, including commercial contracts, global and domestic restructurings, equity holder and governance agreements, corporate governance matters and cash repatriations.

Mike also represents athletes and entertainers in complex business matters, including commercial contracts, minority investments and Name, Image and Likeness (NIL) matters.

Mike currently co-heads the Board of the American Lung Association's Celebrity Golf Tournament of Cleveland. He is also actively involved with various charities and organizations in Greater Cleveland, including Cleveland Clinic Children's and St. Mary's Church.

Mike joined Calfee in 2026 from an Am Law 50 law firm.

• Represented a multinational tire and rubber manufacturing company in several billion-dollar disposition transactions and commercial agreements involving automotive and business products businesses.
• Represented a publicly traded, Fortune 500, American multinational manufacturing company in the sale of several business divisions.
• Represented a publicly traded, Fortune 1000, industrial distribution and technical solutions company in several acquisition transactions, including a provider of emerging automation technologies and engineered solutions, and a fluid power solutions business.
• Represented a publicly traded, Fortune 1000, global industrial manufacturing company in several transactions, including (i) the sale of its aerospace division to a leading manufacturing company owned by an East Coast private equity firm, and (ii) the acquisition of a manufacturing business specializing in high-precision cycloidal reduction gears and actuators used in industrial automation and robotics.
• Represented a global designer and manufacturer of high-performance ride-dynamics, suspension systems, and upfit products in its acquisition of a baseball equipment company.
• Represented a publicly traded, Fortune 1000, North American amusement and resort company in its acquisition of a group of amusement parks.
• Represented a global financial technology company in several transactions, including its acquisition of an institutional foreign exchange service and its acquisition of a global foreign exchange business.
• Represented a global private equity and investment firm and its international digital marketing platform company in the acquisition of a behavioral science and AI consultancy business.
• Represented a global private equity firm and its pharmaceutical services platform company in the acquisition of two separate consulting businesses.
• Represented a global private equity firm and its messaging and communications platform company in numerous acquisitions in the technology sector, including a SaaS platform company.
• Represented a publicly traded, Fortune 500, medical technology company in general corporate matters, including cash repatriation transactions and restructurings.
• Represented a publicly traded, Fortune 1000, advanced engineered materials manufacturing company in general corporate matters and global restructurings.
• Represented a global manufacturing company specializing in water treatment systems in numerous matters, including the acquisition of numerous water softener and filtration distribution companies; and corporate governance, employee benefits, labor and employment, IP, data privacy and litigation matters.
• Represented the founders of a leading corporate investigations firm in its sale to the platform company of a Florida-based private equity firm.
• Represented several high-profile athletes and entertainers in various business and commercial matters.
• Represented Tradesmen International, a construction staffing company, in numerous legal areas, including corporate governance, employee benefits, labor and employment, IP, data privacy and litigation matters.
• Represented the founders of Window Nation in the sale of Window Nation and the subsequent rollover of equity securities to several private equity firms.
• Represented Magden Motors in its acquisition of several luxury vehicle dealerships.

• Represented CW Industrial Partners in the following matters:
• the purchase of the equity interests of a leading manufacturer of premium quality custom vinyl windows.
• the sale of the equity interests of a national manufacturer of fractional motors.
• Represented RPM International Inc. (NYSE: RPM) and its affiliates in several acquisitions, including:
• the purchase of the stock of a supplier of food stabilizer products;
• the purchase of substantially all of the assets of a bridge and road repair company; and
• the purchase of substantially all of the assets of a supplier of painting, sealing and finishing products.
• Represented The Lincoln Electric Company (NASDAQ LECO) in general corporate and commercial contract matters, including the drafting of Supplier Terms and Conditions and License Agreements.
