Overview
Andrew has extensive experience structuring and executing complex mergers, acquisitions, and divestitures, managing all tax aspects of transactions, conducting tax research, and communicating complicated tax issues to clients.
Prior to joining Calfee in 2026, Andrew served as counsel and as an associate for nearly 10 years at large global law firms.
Andrew earned his J.D. at the University of Virginia School of Law, where he served as Executive Editor of the Virginia Tax Review. He also served as Chief Investment Officer for Rivanna Investments and Vice President of Jewish Law School Students.

- Represented a publicly traded company in comprehensive debt exchange transactions.
- Represented one of the world’s leading asset managers in its acquisition of a leading SaaS engagement and e-Commerce platform.
- Represented a large insurance company in its strategic minority investment in a provider of asset-backed financing, structured credit and capital markets solutions.
- Represented a secondaries advisory firm in its sale to a private equity firm.
- Represented a publicly traded blank check company in its initial acquisition.
- Represented a private equity firm in connection with the closing of a single-asset continuation fund.
- Represented a publicly traded company in the global carve-out and sale of its Residential and Light Commercial HVAC Business.
- Represented one of the world’s largest private equity firms in its acquisition of an indirect, non-controlling interest in an LNG project.
