Overview

Mike represents clients across a wide variety of industries, including banking, financial services, technology, security, manufacturing and professional services.

He has advised national financial institutions, private equity funds, mezzanine debt funds and corporate borrowers in connection with senior secured loans, ABL facilities, second lien loans, subordinated mezzanine loans, workout and restructuring scenarios, warrant issuances, equity co-investments and venture capital financing.

He received his J.D. from Washington University School of Law in St. Louis and his M.S. and B.S. from Case Western Reserve University.

Mike joined Calfee's Columbus office in 2019.

  • Represented senior agent in over $100 million in syndicated loans to Ohio-based vehicle dealer.
  • Represented agent in connection with bridge revolving loans to an Ohio-based real estate fund focused on multi-family housing.
  • Represented SBIC mezzanine funds and other subordinated debt funds in over $200 million in secured and unsecured subordinated loans and equity co-investments to issuers in multiple industries, including manufacturing, restaurant franchising, online direct-to-consumer sales, veterinary hospitals, health care and rehabilitation centers, heating & cooling repair and environmental disposal services.
  • Represented California-based biotech start-up in connection with its issuances of Series A, Series B and Series C Preferred Stock.
  • Represented agricultural loan originator and servicer in connection with joint venture investments with private equity funds and bond commitments with a federal governmental agency.
  • Represented Columbus-based division of a Fortune 500 company in connection with the debt financing of its sale to a private equity fund and subsequent integration of treasury and intercompany transactions.
  • Represented Ohio-based Fortune 500 company in connection with its divestiture of a division to a private strategic buyer.
