Hayley has experience representing private equity firms in buy- and sell-side transactions, including negotiating terms of purchase agreements, drafting related ancillary documents, and preparing disclosure schedules. She has drafted, reviewed, and negotiated a variety of agreements, including non-disclosure agreements, entity organizational documents, and capital raise subscription documents.
In addition, Hayley has provided advice as outside general counsel to technology and health care clients and has represented broker-dealer clients in private offerings involving the sale of debt and equity securities.
Hayley also has experience coordinating commercial real estate transactions, including working with title companies and managing closings as well as representing tenants and landlords in the preparation and review of lease agreements.
She has advised clients with federal and state regulatory compliance matters as well as compliance with federal and state taxation laws.
Additionally, she has assisted large corporate entities with the negotiation and drafting of employment/executive agreements.
Prior to joining Calfee in 2021, Hayley was an Associate Attorney with the Corporate Securities & Tax Group in the Birmingham, Alabama office of a national law firm.
Hayley served as a Student Extern for the Joint United Nations Programme on HIV/AIDS (UNAIDS) in Washington, D.C. She also served as a Student Attorney for the Knox County District Attorney in Knoxville, Tennessee and as a Law Clerk for a Tennessee law firm.
She earned her LL.M. degree, with honors, in Global Health Law and International Institutions from the Georgetown University Law Center and The Graduate Institute Geneva, serving as Editor of the Food and Drug Law Journal.
Hayley earned her J.D., cum laude, from the University of Tennessee College of Law, where she served as Research Editor for Transactions: The Tennessee Journal of Business Law. Hayley scored in the top five for Overall Brief and top 16 for Oral Argument for the 2014 Prince Evidence Moot Court competition. She was a recipient of the Pro Bono Honor Roll, and she was a member of the Phi Alpha Delta Service Fraternity.
Hayley earned her B.A., magna cum laude, in Psychology, with a Minor in Political Science, from Missouri State University.
