STEVE counsels clients on a wide range of business law matters, including mergers and acquisitions, venture capital investments, private equity investments, mezzanine debt financings and forming businesses using corporations and limited liability companies.

Steve also effectively serves as outside general counsel to a number of private companies that do not have in house legal staffs.  As such, Steve advises clients on a wide variety of day to day legal matters, including employment and consulting agreements, noncompetition agreements, executive compensation arrangements and distribution agreements.  Additionally, he counsels senior executives on company business strategy.
 
Steve represents both buyers and sellers of businesses in various transactions, including asset purchases, stock purchases and mergers.  These transactions have involved a diverse group of clients, including international conglomerates, U.S. public companies, private equity funds, large privately held entities and early stage enterprises.
 
Steve has extensive expertise representing venture capital funds and early stage companies on their investments and fund raising alternatives.  His counsel includes helping clients comply with the federal and state securities laws as well as the pros and cons of different fund raising strategies.
 
Prior to returning to Ohio, Steve practiced for eight years in Boston, Massachusetts during the Internet boom where he gained extensive experience advising technology clients on a broad variety of intellectual property and corporate issues.
 
Steve’s twenty plus years of diverse experiences have taught him to be flexible and practical in his legal practice.  “One size fits all” is not an effective way to deliver legal advice.  Each client’s concerns, demands and style is different, and legal advice has to be tailored effectively for each.
 
Steve has been a member of the Advisory Board for the Center for Entrepreneurship at The Ohio State University Fisher School of Business since 2005 and a member of Reservoir Ventures Partners II Advisory Board since 2010.  Steve is also active in civic organizations in New Albany, Ohio.
 
He is a member of the New York, Massachusetts, Ohio and Columbus Bar Associations. 
 
Steve has been an associate with the law firms of Stroock & Stroock & Lavan in New York City, and Lucash, Gesmer & Updegrove in Boston, Massachusetts.  He was a partner with the firm of Goldstein & Manello P.C. before joining Calfee as a partner in 2000.
