MEGAN advises Calfee’s closely-held and publicly-traded clients, including private equity funds and their portfolio companies, with respect to entity formation, capitalization and financing efforts, mergers, acquisitions and divestitures, reorganizations and various general corporate and tax issues affecting their businesses.
Primarily, Megan’s practice focuses on representing both buyers and sellers from a broad cross-section of industries in the merger, acquisition or divestiture process, from the initial diligence phase to the post-closing integration period. She also counsels corporations, partnerships, limited liability companies and other business entities on federal income tax and corporate governance matters.
Megan works with private equity clients to structure, form and start-up funds, including leveraged buyout funds and funds-of-funds, as well as other types of private investment funds. She also advises fund clients on partnership, limited liability company and securities law considerations and compliance with regulatory requirements.
Megan is a member of the Cleveland Metropolitan Bar Association, the Tax Club of Cleveland and Playhouse Square Partners. She holds an inactive Ohio Certified Public Accountant license.
Megan was an associate with Paragon Advisors, Inc., a financial advisory services firm, prior to joining Calfee in 2006.
